Before becoming a member of H&H Internet BV -Pay per Click Advert Program , please read the following terms and conditions:

1.Becoming a member of H&H internet advertising programs
To participate in the program, you agree to enter into an agreement with H&H Internet BV, an Amsterdam Company fully registered at the Chamber of Commerce of Amsterdam under the No 274387. The Terms and Conditions of membership are applicable on all actions unless is agreed otherwise. Terms and conditions can be changed by H&H at anytime. The changes become effective when posted on the Internet Service. By filling out and submitting the SIGN UP form, you agree to be bound by the terms of this agreement. The date of the execution shall be the date the form has been filled in .

2.Payments
H&H will pay 10 cents per unique click through to one of the site of H&H internet BV. A "Unique click through" occurs when a user enters a H&H site main page with an IP address that has not been identified before for that site and falls within the parameters defined by H&H Internet BV. Payments are done twice a month on the first working day of the monthand on the 16th of the month:

1. for amounts above 60 US $ and below 200 US$ are send in traveler checks or with a US$ check to the person or company defined in the SIGN UP form.
2. for amount above, international transfers are initiated , and the member should notify H&H of the proper bank account , as stipulated in the SIGN UP form.
3. for amounts below 60 US$, we hold payment until they exceed US$ 60.00 .

3.Rights Granted
During the term of this agreement, H&H grants to the owner/operator of the Internet Site (hereinafter "Site Operator") the rights to use the banners advertising H&H sites. The rights granted shall be for reasonable, appropriate and lawful use only, and the site operator recognize that H&H sites are for adult usage only. The banners as the links cannot be modified and only H&H banner� sites s can be used The exact same code as given after submitting to the SIGNUP form must be used. As many banners can be put on the Site Operator .

4.Site Operator Obligations

• As many banners can be put on the Site Operator.
• No more than 6 H&H sites can be advertised by the site operator at a time.
• Only One account must be created per H&H site advertised and the operator can open only one account per site.
• Conversion rate must be above an average of 1:500 in any given period , otherwise H&H may exercise its option to remove member from the program and to move it to the pay per sign up program .If this is the case all the clicks up to this change will be paid to the operator at the rate of 10 cts per click.
• Site operator agrees not to link to H&H sites using any "jumpstations" or redirections of any type, not to use any spamming technique (like EMAIL or NEWSGROUP) or listing on newsgroups or any other fraudulent method if so , H&H reserve the right not to pay the site operator
• The site operator must enter the URL from where a visitor will go to the HH sites, this URL should be consistent with the referal URL obtained in the statistic file. If not HH reserve the right to pay not to pay the click operator

5.Representations and Warranties
The site Operator warrant and represent that he owns or operates a lawful and otherwise valid Internet Web site. You acknowledge that he has the power to enter into this Agreement and performs the obligations set forth herein and that he is an adult above 18 years of age. The site operator shall indemnify H&H against any loss, damage, liability (including any legal fees)which result from the use of any H&H material not expressly authorized by this agreement. The site operator agrees and warrants that no "adult restricted" banners will be placed on areas of your site which may be accessed by minors.

6.Limitation of Liability
H&H makes no warranties with regard to the performance of the link or the content of H&H sites .H&H shall not be held liable to the site Operator or any other person or entity , including users of H&H services, for any losses, injuries or damages of any kind, arising from or in connection with any mistakes, omissions, delays , errors, interruptions in the transmission or receipt of H&H services or content.

7.Term and Termination
The term of this agreements are indefinite. H&H reserves the right to terminate this agreement at any time , without cause. Delivery of notice via E-Mail shall be considered sufficient notice. Upon termination of this agreement the Site Operator shall be entitled to all unpaid commissions , commissions for referrals delivered after the date of termination will not be due. Final payouts are made if the account balance exceeds fifty dollars.

8.Litigations
This agreement shall be governed by the laws of the Netherlands, Europe. The only competent court should be the Dutch Court.
